These Terms of Use (“Terms”) govern your access to and use of the AltQuant.ai website, data products, and related services (collectively, the “Services”) provided by AltQuant.ai (“AltQuant,” “we,” “our,” or “us”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you should not access or use the Services.

Nature and Purpose of the Services

AltQuant operates a quantitative intelligence platform that delivers market regime indicators, risk assessment data, and related analytics to institutional investors, quantitative researchers, and financial professionals. Our datasets are designed to support research, risk management, portfolio construction, and decision-support workflows within professional investment operations.

The Services are informational and analytical in nature. We provide derived market data and classification systems that help institutional users understand market conditions and incorporate regime-aware context into their processes. We do not manage money, execute trades, or provide personalized recommendations.

Our core offering consists of historical and ongoing market regime data, including state classifications, severity indicators, breadth analytics, and related metrics. This data is intended to function as infrastructure—inputs to your own models, risk systems, or research processes—rather than as standalone trading signals or investment advice.

AltQuant does not provide investment advice, trading recommendations, or personalized financial guidance of any kind. Nothing in our Services, datasets, documentation, website content, or communications should be construed as a recommendation to buy, sell, or hold any security, or as advice regarding the suitability of any investment strategy for your particular circumstances.

Our data products are analytical tools, not investment advice. While our regime indicators and risk metrics may inform your decision-making process, they are not predictions of future market performance and should not be treated as such. Markets are inherently uncertain, past performance does not guarantee future results, and any investment decision involves risks that you must evaluate independently.

You are solely responsible for how you interpret, incorporate, and act upon any data or information obtained through our Services. We strongly recommend that you consult with qualified financial, legal, and tax advisors before making investment decisions. AltQuant expressly disclaims any responsibility for investment outcomes resulting from the use of our data.

Data Access and Delivery

Access to AltQuant datasets is provided through several channels depending on your arrangement with us.

Marketplace access. Our primary distribution channel is Snowflake Marketplace, where institutional users can access our data products subject to Snowflake’s platform terms and any additional terms specified in the listing. When you access our data through a marketplace, both the marketplace terms and these Terms apply. In the event of any conflict, the more restrictive provision governs.

Direct data sharing. In some cases, we provide data access through secure data sharing mechanisms, direct connections, or API access pursuant to a separate agreement. Any such access is governed by the specific terms of that agreement in addition to these Terms.

Trial and evaluation access. We may provide limited trial access to prospective customers for evaluation purposes. Trial access is provided at our discretion, may be subject to additional restrictions, and does not create any obligation on our part to provide ongoing access or to enter into a commercial relationship.

Regardless of how you access our data, you agree to use it only for the purposes permitted under your applicable agreement and in compliance with all applicable laws and regulations.

Restrictions on Use and Redistribution

AltQuant datasets are licensed, not sold. Your access grants you a limited right to use the data for your internal business purposes as specified in your applicable agreement, but does not transfer ownership of the data or any underlying intellectual property.

Redistribution prohibited. You may not redistribute, resell, sublicense, or make available AltQuant data to third parties without our explicit written permission. This includes publishing our data in reports or analyses distributed externally, incorporating our data into products or services you offer to others, or providing access to our data to affiliates or partners not covered by your agreement.

Reverse engineering prohibited. You may not attempt to reverse-engineer, deconstruct, or derive the underlying methodologies, algorithms, thresholds, or logic used to produce our data products. Our analytical methods represent significant intellectual property, and any attempt to reconstruct them from the data outputs constitutes a material breach of these Terms.

Derived works. You may create internal analyses, models, or derived outputs using our data for your own use. However, any derived work that would allow a third party to reconstruct or approximate our underlying data or methodologies may not be distributed externally without our consent.

Intellectual Property

All content, datasets, data schemas, documentation, methodologies, trademarks, and materials provided by AltQuant remain the exclusive property of AltQuant or our licensors. These Terms grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for permitted purposes during the term of your access.

This license does not include any right to modify, adapt, or create derivative works from our materials except as expressly permitted, or to use our trademarks, logos, or branding without prior written consent. All rights not expressly granted are reserved.

Any feedback, suggestions, or ideas you provide to us regarding our Services may be used by AltQuant without restriction or compensation. We appreciate input from our users, but please do not share anything you consider confidential unless we have a separate confidentiality agreement in place.

Acceptable Use

You agree to use the Services in a manner consistent with their intended purpose and in compliance with all applicable laws. Without limiting the generality of that obligation, you specifically agree not to:

Misuse or abuse the Services. This includes using the Services in ways that could damage, disable, overburden, or impair our systems, or that interfere with other users’ access. It also includes attempting to gain unauthorized access to any part of the Services, related systems, or networks.

Compromise security. You may not probe, scan, or test the vulnerability of our systems, circumvent security measures, or attempt to access data or functionality you are not authorized to use.

Use data for prohibited purposes. You may not use our data to engage in market manipulation, fraud, or any other unlawful activity. You may not use our data in ways that violate applicable securities laws or regulations.

Misrepresent your use or affiliation. You may not falsely claim affiliation with AltQuant, misrepresent your authority to access our Services, or provide false information in connection with your account or access.

We reserve the right to suspend or terminate access for any user who violates these provisions or whose conduct we reasonably believe is harmful to our Services, other users, or our business.

Service Availability and Modifications

AltQuant strives to provide reliable and consistent access to our Services, but we do not guarantee uninterrupted availability. We may modify, suspend, or discontinue any aspect of the Services at any time, with or without notice, for any reason. This includes changes to data coverage, delivery mechanisms, update frequencies, or available features.

We may also update these Terms from time to time. When we make changes, we will update the “Last updated” date at the top of this page. For material changes, we may provide additional notice through our website or by other means. Your continued use of the Services after any modification constitutes acceptance of the updated Terms. If you do not agree to the modified Terms, you should discontinue use of the Services.

If you have a commercial agreement with us that includes specific service level commitments, those commitments are governed by that agreement and are not affected by this general provision.

Disclaimers

The Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by applicable law, AltQuant disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Without limiting the foregoing, AltQuant does not warrant that the Services will be accurate, complete, reliable, current, or error-free, that the Services will meet your requirements or expectations, that the Services will be available without interruption or delay, or that any defects will be corrected.

We make reasonable efforts to ensure the quality and accuracy of our data, but markets are complex, data sources have limitations, and analytical systems are imperfect. You acknowledge that any reliance on our Services is at your own risk and that you are responsible for validating data and conclusions before acting on them.

Limitation of Liability

To the maximum extent permitted by applicable law, AltQuant, its affiliates, officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages arising out of or related to your access to or use of (or inability to access or use) the Services. This includes, without limitation, damages for lost profits, lost revenue, lost data, business interruption, or any other intangible losses, even if we have been advised of the possibility of such damages.

In no event shall AltQuant’s total liability to you for all claims arising out of or related to the Services exceed the amounts you paid to AltQuant for access to the Services during the twelve months preceding the claim, or one hundred dollars ($100) if you have not made any payments.

These limitations apply regardless of the legal theory on which the claim is based, whether contract, tort, negligence, strict liability, or otherwise, and regardless of whether any remedy fails of its essential purpose.

Some jurisdictions do not allow the exclusion of certain warranties or limitations on liability, so some of the above limitations may not apply to you. In such cases, our liability will be limited to the greatest extent permitted by applicable law.

Indemnification

You agree to indemnify, defend, and hold harmless AltQuant and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Services, your violation of these Terms, your violation of any applicable law or regulation, or your violation of any rights of a third party.

Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Texas, and you consent to the personal jurisdiction of such courts.

If you have a separate commercial agreement with AltQuant that includes different governing law or dispute resolution provisions, those provisions govern with respect to matters covered by that agreement.

General Provisions

Entire agreement. These Terms, together with any applicable commercial agreement and marketplace terms, constitute the entire agreement between you and AltQuant regarding the Services and supersede any prior agreements or understandings.

Severability. If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

Waiver. Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by AltQuant to be effective.

Assignment. You may not assign or transfer these Terms or any rights hereunder without our prior written consent. We may assign these Terms without restriction.
